Terms of Service

These Terms of Service (“Terms”) form a binding legal agreement between you (“Customer,” “you,” or “your”) and Nim&Co, LLC, a Texas limited liability company doing business as the Manav® (“Company,” “we,” “us,” or “our”), located in Houston, Harris County, Texas. By accessing themanav.com (the “Site”) or placing an order, you agree to these Terms.

1. Acceptance of Terms

If you do not agree with any part of these Terms, you must not use the Site or place an order. We may update these Terms at any time; changes become effective when posted. Continued use of the Site after changes constitutes acceptance.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under Texas law to place an order. By ordering, you represent and warrant that you meet this requirement.

3. Account Registration

You may browse without registering, but certain features require an account. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.

4. Products, Pricing & Availability

  • All prices are in U.S. Dollars (USD) and exclude applicable taxes and shipping unless stated otherwise.
  • We reserve the right to correct pricing errors, modify or discontinue any product, and limit order quantities at our sole discretion.
  • Product images are for illustration; packaging, label design, and ingredients may change without notice from the manufacturer.
  • Nim&Co, LLC is not responsible for typographical errors or inaccuracies in product descriptions supplied by third-party brands.

5. Orders & Payment

Placement of an order is an offer to purchase, which we may accept or decline. An order is not binding on us until we confirm acceptance by shipping the order. We accept major credit/debit cards and supported digital wallets processed by our payment partner; all transactions are secured using industry-standard encryption.

6. Sales Tax

We collect Texas state and local sales tax on taxable items as required by the Texas Comptroller of Public Accounts and any other state where we have a tax obligation. Applicable tax is calculated and displayed at checkout.

7. Shipping, Returns & Refunds

Shipping is governed by our Shipping Policy. Returns and refunds are governed by our Refund & Return Policy. Both policies are incorporated into these Terms by reference.

8. Food-Safety & Product Use

We sell food, beverages, and pantry items. It is the customer’s responsibility to inspect labels for ingredients, allergens, and “best by” dates before consumption. Nim&Co, LLC makes no medical or dietary claims beyond information supplied by manufacturers and is not liable for any allergic reaction or adverse health outcome that arises from your consumption of a product.

9. Intellectual Property

All content on the Site — including logos, images, text, graphics, code, and the “the Manav®” name and mark — is owned by Nim&Co, LLC or its licensors and is protected by U.S. copyright and trademark law. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

Third-party brand names and logos (e.g., Ülker, Eti, Tukaş) are the property of their respective owners and are used solely to describe the products we sell.

10. User Conduct

You agree not to:

  • Use the Site for any unlawful purpose
  • Scrape, data-mine, or use automated tools to extract content
  • Interfere with the Site’s security, performance, or availability
  • Transmit viruses, malware, or malicious code
  • Impersonate another person or entity

11. Reviews & User Content

By submitting a review, comment, or other content, you grant Nim&Co, LLC a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content on the Site and in marketing. You represent that you own or have the right to submit the content and that it is not defamatory, offensive, or infringing.

12. Disclaimers

The Site and all products are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by Texas law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits any warranty that cannot be waived under Texas law.

13. Limitation of Liability

To the maximum extent permitted by the laws of the State of Texas, Nim&Co, LLC’s total aggregate liability for any claim arising from or related to your use of the Site or any order shall not exceed the amount you paid for the order giving rise to the claim. We shall not be liable for indirect, incidental, consequential, special, or punitive damages. Nothing in this section limits rights that are non-waivable under the Texas Deceptive Trade Practices – Consumer Protection Act (Tex. Bus. & Com. Code Ch. 17).

14. Indemnification

You agree to indemnify and hold harmless Nim&Co, LLC, its members, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of any product, or your violation of applicable law.

15. Force Majeure

We are not liable for any delay or failure to perform caused by circumstances outside our reasonable control, including acts of God, natural disasters, pandemic, labor action, carrier delays, governmental action, or interruption of utilities or suppliers.

16. Termination

We may suspend or terminate your access to the Site at any time, with or without cause, and with or without notice. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) shall survive.

17. Governing Law & Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Exclusive venue for any action arising out of or related to these Terms or any purchase shall be the state or federal courts located in Harris County, Texas. Both parties consent to personal jurisdiction in those courts.

18. Dispute Resolution

Before filing any formal action, the parties agree to attempt informal resolution for at least thirty (30) days. If unresolved, either party may pursue remedies available under Texas law, including mediation or arbitration where appropriate.

19. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. No waiver of any term is effective unless in writing and signed by an authorized representative of Nim&Co, LLC.

20. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Refund & Return Policy, constitute the entire agreement between you and Nim&Co, LLC with respect to your use of the Site and your purchases, and supersede any prior agreements.
